1. What GoodWorks is
1.1 MAITS GoodWorks is a licensed, subscription-based website platform and service operated by MAITS. It includes website hosting on the MAITS platform, maintenance, security and support at the level of the plan the Customer chooses.
1.2 GoodWorks is a commercial service, offered at different rates for different plans and types of organisation. It is not a charity, donation, grant or fundraising programme.
1.3 This Schedule forms part of the Master Services Agreement. In this Schedule, capitalised terms have the meanings given in that Agreement.
2. Licence, not a sale
2.1 During an active subscription, MAITS grants the Customer a non-exclusive, non-transferable, revocable licence to use the GoodWorks platform and its website, as hosted by MAITS, for the Customer's own organisation.
2.2 The website, its design, code, templates and configuration, and the GoodWorks platform remain MAITS Materials. They are provided only as a hosted service and may not be copied to, exported to or run on any other hosting. The licence ends when the subscription ends or is terminated.
2.3 The Customer keeps ownership of its Customer Content and its domain names.
2.4 Where MAITS moves an existing website onto GoodWorks, the Customer keeps its rights in the original website it supplied. The version rebuilt or configured on the GoodWorks platform is covered by clause 2.2.
3. Plans and rates
3.1 The plans and monthly rates at the date of this Schedule are set out below. Rates exclude GST.
| Plan | Monthly rate (NZD or AUD) | Summary | Support response target |
|---|---|---|---|
| Essential | 99.99 | Website hosting with HTTPS, domain management and secure enquiry form delivery | Within 3 Business Days |
| Community | 199.99 | Everything in Essential, plus basic website updates and security patching | Within 2 Business Days |
| Partner | 299.99 | Everything in Community, plus 8 hours of specialist consulting a month | Within 1 Business Day (priority queue) |
| Enterprise | By quotation | Scope, service levels and rates agreed in an Order | As agreed in the Order |
3.2 New Zealand customers pay GST at 15%. GST or other taxes for customers outside New Zealand are charged as required by law.
3.3 Rates may differ by type of organisation and by eligibility. MAITS may require evidence of eligibility, such as registration as a charity, incorporated society or trust. If a Customer is no longer eligible for the rate it receives, MAITS may move it to the applicable rate from the next renewal, after 30 days' notice.
3.4 Inclusions are described on the GoodWorks page and in the Order. Basic website updates mean minor changes to existing text, images and links. They do not include new pages, redesigns, new functionality or content creation, which are quoted separately.
3.5 Consulting hours included in a plan are available each calendar month. They are requested through the Portal, do not roll over, have no cash value and are not refundable.
4. Setup, migration and activation
4.1 Website setup, migration and extra pages are one-off services under the Website Services Schedule. They are charged at the rates published at the time of the Order.
4.2 A subscription starts on the date MAITS confirms payment, or on acceptance where MAITS invoices the Customer. Hosting does not start until MAITS has verified the organisation, received the information it needs and completed setup. Billing for the plan starts on the subscription start date.
5. Exclusions
5.1 Unless an Order states otherwise, the following are not included:
- domain registration and renewal fees charged by registries and registrars;
- third-party paid plugins, themes, software and services;
- content creation, copywriting, photography and translation;
- substantial redesigns, rebranding and bespoke application development;
- remediation of malware, defects or compromise that existed before onboarding, or that was caused by the Customer or its other providers;
- integrations with third-party systems, data migration from other platforms beyond the website itself, and email hosting.
5.2 MAITS can quote for these separately.
6. Acceptable use and fair use
6.1 GoodWorks websites must comply with the Acceptable Use Policy.
6.2 Plans are designed for typical organisational websites. Where a website uses resources that are materially greater than typical (for example storage, bandwidth, traffic or form volume), MAITS may ask the Customer to move to a plan or Order that suits its use. If the Customer does not, MAITS may apply reasonable limits.
7. Cancellation and exit
7.1 Subscriptions are monthly and renew automatically. They can be cancelled as set out in the Subscriptions, Promotions, Renewal and Cancellation Policy.
7.2 When a subscription ends:
- the website is taken offline at the end of the final paid period;
- on request made within 30 days, MAITS provides an export of Customer Content in a standard format, and supports transfer of the Customer's domain names under the Domain Registration Terms;
- Customer Content is deleted after that period, in line with MAITS's retention schedule.
7.3 An export does not include the website, platform or other MAITS Materials. Additional migration assistance can be provided at MAITS's rates.
