1. Scope
1.1 This Schedule applies to MAITS's consulting, advisory, architecture, assessment, implementation, assurance, training and custom technology services. The services it covers are listed in the Schedule index of the Master Services Agreement. It forms part of the Master Services Agreement.
1.2 Professional services are supplied in one of these ways, as stated in the Order:
- time and materials: charged at MAITS's rates for the time spent;
- fixed price: a stated price for a defined scope and Deliverables;
- retained or prepaid hours: a block of hours purchased in advance;
- plan-included hours: for example the consulting hours included in a GoodWorks Partner plan.
2. Rates and time recording
2.1 Rates are those stated in the Order, or MAITS's current rate card. Time is recorded in 15-minute increments. Each scheduled session or booking is charged for a minimum of one hour.
2.2 Work outside 8:30 am to 5:30 pm on Business Days, at the Customer's request, is charged at 1.5 times the applicable rate unless the Order states otherwise.
2.3 Estimates are given in good faith. They are not fixed prices. MAITS will tell the Customer if it expects an estimate to be exceeded by more than 10%.
2.4 Travel time and reasonable travel, accommodation and other out-of-pocket costs are charged as stated in the Order. If the Order does not state them, costs are charged at cost and travel time at the applicable rate.
3. Prepaid and retained hours
3.1 Prepaid hours are valid for 12 months from purchase, unless the Order states another period. Unused hours expire at the end of that period. They are not refundable and have no cash value.
3.2 Hours are used in the order purchased. MAITS reports usage in the Portal.
4. Bookings and cancellations
4.1 If the Customer cancels or reschedules a booked session, meeting or workshop:
- with less than 2 Business Days' notice, 50% of the booked time is chargeable;
- with less than 1 Business Day's notice, or by not attending, 100% of the booked time is chargeable.
4.2 Workshops and training cancelled with less than 10 Business Days' notice are charged at 50% of the Fee. Non-refundable costs already committed, such as venues and travel, are also charged.
5. Advice and Deliverables
5.1 Advice, recommendations, assessments, architecture and roadmaps are based on:
- the information provided to MAITS;
- the scope agreed; and
- conditions at the time.
They are not a guarantee of any outcome, of compliance or of security. Implementation decisions remain the Customer's responsibility.
5.2 Deliverables are provided for the Customer's internal use under clause 8.3.2 of the Master Services Agreement. They may not be provided to third parties, except the Customer's advisers, auditors and regulators, without MAITS's consent.
5.3 Fractional or interim leadership roles (for example fractional CTO or CISO) are advisory. MAITS personnel do not become officers, directors or employees of the Customer, and do not take on statutory duties of those roles, unless agreed in a separate written agreement.
6. Implementation work in Customer systems
6.1 Before MAITS makes changes, the Customer must ensure that:
- appropriate backups exist;
- change approvals are in place; and
- MAITS has the access and authority required.
6.2 MAITS is not liable for disruption that results from changes the Customer has approved, or from the condition of the Customer's environment.
7. Acceptance of Deliverables
7.1 Deliverables are accepted on the earlier of:
- the Customer confirming acceptance; or
- 5 Business Days after delivery, unless the Customer has reported in writing a material failure to meet the agreed scope.
7.2 Once a Deliverable is accepted, the Fee for it is payable. Changes to it are variations.
8. Invoicing
8.1 Time and materials work is invoiced monthly in arrears. Fixed-price work is invoiced as set out in the Order. Unless the Order says otherwise, MAITS may require a 50% deposit for fixed-price work over NZ$5,000 before work starts.
