1. Scope
1.1 This Schedule applies to MAITS software, platform components, integrations and products that MAITS makes available under an Order, whether hosted by MAITS or deployed in the Customer's environment. It forms part of the Master Services Agreement.
1.2 Products supplied by separate legal entities, including DiligenceID, are not supplied under this Schedule.
2. Licence
2.1 Subject to payment of all Fees, MAITS grants the Customer a non-exclusive, non-transferable, non-sublicensable licence to use the software for the Customer's internal business purposes, during the licence term and within the usage limits stated in the Order.
2.2 Software is licensed, not sold. MAITS and its licensors keep all rights not expressly granted.
2.3 The Customer must not:
- copy, modify, translate, decompile or reverse engineer the software, except to the extent the law expressly permits despite this restriction;
- remove proprietary notices;
- use the software to build a competing product; or
- exceed the licensed usage.
3. Third-party and open-source components
3.1 Software may include third-party or open-source components. These are licensed under their own terms, which take precedence for those components.
4. Updates and support
4.1 Updates and support are provided as stated in the Order. MAITS may change features, provided the core functionality the Customer licensed is not materially reduced during a paid term.
5. Usage verification
5.1 MAITS may verify the Customer's usage, including through the software's own reporting. Use beyond the licensed limits is charged at MAITS's current rates from the date the excess use began.
6. End of licence
6.1 When the licence ends, the Customer must stop using the software and delete any copies in its environment. MAITS may disable access to hosted software.
